Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the PaasPort platform, including the marketplace, account dashboard, and related services (collectively, the “Service”) operated by MOD Mission Critical LLC (“PaasPort”, “we”, “us”, or “our”). By creating an account or submitting an estimate, you agree to be bound by these Terms.

1. Eligibility

The Service is intended solely for business customers. By using the Service you represent that (a) you are at least 18 years old, (b) you have the authority to bind the legal entity on whose behalf you are acting, and (c) your use of the Service does not violate any applicable law or regulation.

2. Description of Services

PaasPort operates a business-to-business digital marketplace for infrastructure services, including but not limited to:

• Full Rack and partial Colocation (Colo by U)
• Internet Connectivity
• Point-to-Point private circuits
• Managed Network, Security, and Cloud Services

PaasPort acts as the merchant of record for all transactions. The underlying infrastructure is provided by third-party providers; PaasPort is responsible for commercial terms, invoicing, and customer support.

3. Accounts

You must register for an account to submit estimates or place orders. You agree to provide accurate information and to keep your credentials confidential. You are responsible for all activity that occurs under your account. Notify us immediately at legal@modmc.net if you suspect unauthorised access.

4. Estimates and Orders

Submitting an estimate (“quote request”) is not a binding purchase order. All pricing shown in the marketplace is indicative and marked as an estimate. A binding order is only formed when PaasPort issues a signed Order Form or written confirmation and you accept it in writing.

Once an order is confirmed, it may not be cancelled except as expressly permitted in the applicable Order Form or service schedule.

5. Payment Terms

Services are invoiced as set out in the applicable Order Form. Unless stated otherwise:

• One-time setup charges (NRC) are due upon order confirmation.
• Monthly recurring charges (MRC) are invoiced in advance on the first business day of each billing period.
• Invoices are due net-30 from the invoice date.
• Late payments accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is lower.

6. Minimum Term and Renewal

Services are provided for the minimum term selected at order (12, 24, 36, 48, or 60 months). At the end of the minimum term, services automatically renew on a month-to-month basis unless either party provides 30 days’ written notice of non-renewal. Early termination fees may apply as set out in the Order Form.

7. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation.
• Transmit unlawful, harmful, or fraudulent content.
• Interfere with or disrupt the integrity of our infrastructure or that of other customers.
• Conduct network scanning, penetration testing, or stress testing without prior written authorisation from PaasPort.
• Resell or sublicense any service without PaasPort’s prior written consent.

8. Service Levels

Any service-level commitments (uptime, latency, restoration times) are set out in the applicable Service Level Agreement (“SLA”) attached to the Order Form. Credits for SLA failures are your sole and exclusive remedy for service interruptions unless otherwise agreed in writing.

9. Intellectual Property

PaasPort and its licensors retain all right, title, and interest in the Service, including all software, trademarks, and content. Nothing in these Terms grants you any right to use PaasPort’s name, logo, or branding without our prior written consent.

10. Confidentiality

Each party agrees to keep the other party’s non-public business information confidential and not to disclose it to third parties without prior written consent, except as required by law or to professional advisers bound by equivalent obligations.

11. Limitation of Liability

To the maximum extent permitted by applicable law, PaasPort’s total aggregate liability to you for any claims arising out of or relating to these Terms or the Service shall not exceed the amounts actually paid by you to PaasPort in the three (3) months preceding the claim.

In no event shall PaasPort be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or data, even if advised of the possibility of such damages.

12. Indemnification

You agree to indemnify, defend, and hold harmless PaasPort and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms or your use of the Service.

13. Termination

PaasPort may suspend or terminate your account at any time for breach of these Terms, with or without notice. Upon termination, your right to access the Service ceases immediately. Sections 9–14 survive termination.

14. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless otherwise agreed in the applicable Order Form.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Service. Continued use of the Service after the effective date of any change constitutes your acceptance of the updated Terms.
